Reviewed and accepted. These Terms cover all DispatchIQ apps and include assumption of risk, DIY/guided-assistance safety, acceptable use, indemnification, binding arbitration and class-action waiver, age eligibility, and electronic-signature consent. Last updated: August 4, 2026.
1. Acceptance of Terms; Electronic Acceptance
These Terms of Service ("Terms") are a binding legal agreement between you and DispatchIQ LLC ("Company," "DispatchIQ," "we," "us," or "our"). They govern your access to and use of the DispatchIQ platform and all of our products and services, including our website, our mobile applications, and the apps known as TechAssist Pro, Hazard Scan, Digital Twin Home, and Workforce OS, together with all related features, content, AI tools, and services (collectively, the "Platform"). By creating an account, clicking "I accept" (or a similar control), electronically signing, or otherwise accessing or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not access or use the Platform. If you accept on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
2. Eligibility; Age Requirement
You must be at least eighteen (18) years of age and capable of forming a legally binding contract to use the Platform. By using the Platform, you represent and warrant that you meet these requirements, that all registration information you submit is truthful and accurate, and that you are not barred from using the Platform under the laws of the United States or any applicable jurisdiction. The Platform is not directed to and may not be used by anyone under 18. We may request proof of age and may suspend or terminate accounts that we believe do not meet these eligibility requirements.
3. Platform & Products Description
DispatchIQ is an AI-powered home-services technology platform. Depending on the product you use, the Platform may provide: a marketplace connecting homeowners with independent service professionals (plumbing, electrical, HVAC, appliance, and related trades); job matching via Merit Matrix scoring; escrow payment processing through Stripe Connect; fleet logistics, Smart Dispatch routing, and workforce tools (Workforce OS); AI diagnostic and guided-assistance tools, including voice and step-by-step walkthroughs and equipment nameplate scanning (TechAssist Pro); AI home-safety scanning and neighborhood hazard information (Hazard Scan); a living digital model of a home and its systems (Digital Twin Home); and part verification, equipment lookup, and knowledge resources. Features vary by product and may change over time.
4. User Accounts
You must create an account to use certain features. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate, current, and complete information during registration and keep it updated. Each individual may maintain only one account; accounts are non-transferable. You must notify us immediately at support@dispatchiq.ai of any unauthorized access to or use of your account. We may suspend or terminate accounts that violate these Terms, contain inaccurate information, or are used for fraud or abuse.
5. Marketplace Role; Independent Contractors; No Liability for User Conduct; Release Between Users
DispatchIQ LLC is solely a neutral technology platform and marketplace (a venue) that helps connect homeowners and customers with independent service professionals and helps companies coordinate their own workforce (including through Workforce OS). DISPATCHIQ IS NOT A HOME-SERVICES PROVIDER, CONTRACTOR, EMPLOYER, STAFFING AGENCY, OR PARTY TO ANY SERVICE, EMPLOYMENT, OR TRANSACTION BETWEEN USERS. Technicians, foremen, drivers, companies, and their personnel ("Service Providers") are independent of DispatchIQ — not employees, agents, partners, joint venturers, or representatives — and nothing in these Terms creates such a relationship. Service Providers set their own schedules, choose which jobs to accept or decline, use their own tools, and are solely responsible for their own business licenses, certifications, permits, insurance, background checks, taxes, tools, supervision, and the manner, method, safety, legality, and quality of their work. For Workforce OS, each company is solely responsible for its own employees, contractors, drivers, payroll, supervision, and legal compliance. DispatchIQ does not employ, direct, control, supervise, train, dispatch (except as an automated technology convenience), endorse, guarantee, warrant, or vouch for any Service Provider, customer, or their work, conduct, licensing, or insurance, and does not guarantee any job, payment, or outcome. TO THE FULLEST EXTENT PERMITTED BY LAW, DISPATCHIQ HAS NO LIABILITY FOR THE ACTS, OMISSIONS, NEGLIGENCE, MISCONDUCT, WORK QUALITY, LICENSING, INSURANCE, PROPERTY DAMAGE, BODILY INJURY, DEATH, DISPUTES, DELAYS, NON-PAYMENT, OR LOSSES OF OR BETWEEN ANY USERS, INCLUDING BETWEEN HOMEOWNERS AND TECHNICIANS, BETWEEN COMPANIES AND THEIR WORKERS OR CUSTOMERS, OR INVOLVING DRIVERS. You are solely responsible for vetting, and for your interactions and agreements with, other users. You agree that any dispute, claim, injury, or damage between you and another user is solely between those users, and you hereby RELEASE DISPATCHIQ LLC and its officers, directors, employees, agents, and licensors from any and all claims, demands, damages, and liabilities of every kind arising out of or related to such disputes or another user's conduct, whether known or unknown.
6. Listed Local Companies; Referral Service Only; No Vetting
In areas where no DispatchIQ service professional has yet onboarded, the Platform may show you independent local businesses sourced from public business directories and mapping data ("Listed Companies"). LISTED COMPANIES ARE NOT DISPATCHIQ PROFESSIONALS AND ARE NOT VETTED, SCREENED, ENDORSED, OR VERIFIED BY US IN ANY WAY. They have not been assigned a Merit Matrix score, have not completed Trust Layer verification, and we have not confirmed their licensing, insurance, bonding, certifications, workmanship, background, or qualifications. We do not employ, supervise, control, direct, or guarantee Listed Companies or their work. Where we display information about a Listed Company (including name, contact details, ratings, or reviews) that information originates from third-party sources, may be inaccurate, incomplete, or out of date, and is provided "AS IS" without any verification by us. If you engage a Listed Company, you do so entirely at your own risk and you contract directly and solely with that company; DispatchIQ is not a party to that agreement, does not process payment for it, and is not responsible for pricing, scheduling, performance, quality, damage, injury, loss, warranty, or any dispute arising from it. YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING A LISTED COMPANY'S LICENSE, INSURANCE, AND SUITABILITY BEFORE ANY WORK BEGINS. Compensation disclosure: when we refer you to a Listed Company we may receive a referral fee from that company, typically a percentage of the job value, payable only if the job proceeds. This fee is paid by the company and does not increase the price you pay. Our receipt of a referral fee is not an endorsement and does not imply any vetting, guarantee, or recommendation. We provide referrals to Listed Companies as an accommodation only, may stop doing so at any time, and make no commitment that any Listed Company will respond, accept, quote, appear, or perform. To the fullest extent permitted by law, the disclaimers, limitations of liability, releases, and indemnities in these Terms apply fully to Listed Companies and to any interaction, transaction, or dispute involving them.
7. AI-Powered Features; No Professional Advice
The Platform includes AI-powered features, including Hazard Scan, Smart Dispatch, TechAssist Pro diagnostics and guided assistance, equipment identification, code and reference lookups, Digital Twin scoring, and AI-based job-completion verification. These features are assistive tools that supplement, and do not substitute for, the judgment of a qualified, licensed professional. AI outputs are generated automatically, may be incomplete, inaccurate, outdated, or wrong, and must be independently verified. NOTHING ON THE PLATFORM CONSTITUTES PROFESSIONAL, ENGINEERING, LEGAL, CODE-COMPLIANCE, OR SAFETY ADVICE. Code references and jurisdiction information are general and must be confirmed with the Authority Having Jurisdiction (AHJ); local amendments control. You are solely responsible for your decisions and for compliance with all applicable codes, permits, and laws. DispatchIQ makes no warranty regarding the accuracy, completeness, or reliability of AI-generated outputs.
8. DIY Guidance, Guided Walkthroughs & Safety
Certain features (including TechAssist Pro "guided walkthrough" and diagnostic modes) may provide step-by-step guidance to technicians or homeowners attempting repairs or installations. THIS GUIDANCE IS NOT A SUBSTITUTE FOR A LICENSED, INSURED PROFESSIONAL AND IS NOT PROVIDED BY A PROFESSIONAL ON SITE. You attempt any repair, diagnosis, or installation at your own risk. The Platform is designed to stop and direct you to a licensed professional for work involving gas, refrigerant (which may require EPA certification), electrical panels or line-voltage wiring, carbon-monoxide or heat-exchanger risk, structural work, or any work requiring a permit or license; however, you remain responsible for recognizing hazards and stopping when unsafe. If you smell gas, see smoke or fire, or a carbon-monoxide alarm sounds, stop immediately, leave the area, and call 911. Always follow manufacturer instructions and local codes and obtain required permits. You acknowledge that improper repair or installation can cause serious property damage, injury, or death.
9. Assumption of Risk
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS associated with your use of the Platform and any actions you take based on it, including risks arising from repairs, diagnostics, installations, inspections, DIY or guided work, reliance on AI outputs, and interactions or transactions with Service Providers or other users. You are responsible for evaluating, and bear all risks associated with, the use of any content, guidance, or services obtained through the Platform. This assumption of risk applies whether or not the risk was foreseeable and survives termination of these Terms.
10. Acceptable Use
You agree not to, and not to permit others to: (a) use the Platform for any unlawful, fraudulent, or harmful purpose; (b) violate any applicable law, code, licensing, or permitting requirement; (c) misrepresent your identity, credentials, licensure, or affiliation; (d) attempt unsafe work you are not qualified or licensed to perform, or use guidance to circumvent licensing or permit requirements; (e) upload content that is illegal, infringing, defamatory, harassing, or that depicts other people without authorization; (f) interfere with, disrupt, probe, or attempt to gain unauthorized access to the Platform or its security; (g) scrape, reverse engineer, decompile, or create derivative works from the Platform except as permitted by law; (h) use the Platform to develop a competing product or train competing AI models; or (i) misuse, resell, or circumvent payments, fees, or the dispute process. We may investigate and take appropriate action, including removing content and suspending or terminating accounts, for any violation.
11. Fees and Payments
Homeowners pay zero platform fees for marketplace services. Flex Technicians pay a 10% platform fee on completed jobs; Sync (company-backed) Technicians pay a 20% Sync Fee in exchange for additional services such as transit coordination, pre-staged parts, and priority dispatch. Certain apps or features may be offered free, with usage limits, or via paid subscriptions or in-app purchases billed through the applicable app store; those purchases are also subject to the app store's terms. All marketplace payments are processed through Stripe Connect and may be held in escrow until job completion is verified. Payouts follow the Stripe Connect Agreement, typically issued within a few business days after escrow release. Taxes are your responsibility. Refunds are handled case-by-case through the Platform's dispute process and, for app-store purchases, the app store's policies. We may modify fees with 30 days' notice to affected users.
12. Intellectual Property; License to You
The Platform, including its software, design, logos, trademarks, documentation, AI models, prompts, Merit Matrix algorithms, knowledge bases, and all related intellectual property, is owned by DispatchIQ LLC or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose. All rights not expressly granted are reserved. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Platform except as permitted by law.
13. User Content
You retain ownership of content you submit (photos, scans, reviews, descriptions, profile information, and similar). By submitting content, you grant DispatchIQ a worldwide, royalty-free, non-exclusive, sublicensable license to host, use, display, reproduce, modify, create derivative works from, and distribute that content to operate, improve, and promote the Platform, including to train and improve our models and services in a manner consistent with our Privacy Policy. You represent that you have the rights to submit the content and that it does not violate any law or third-party right. Do not submit content depicting other people, their property, or sensitive information without authorization.
14. Third-Party Services
The Platform integrates third-party services, including payment processing (Stripe), AI providers, mapping, communications, and analytics. Your use of those services may be subject to their own terms and privacy policies. DispatchIQ is not responsible for third-party services, websites, or content, and their inclusion does not imply endorsement. Transactions and services arranged through the Platform are between you and the relevant Service Provider or third party.
15. Disclaimer of Warranties
DispatchIQ provides a technology platform that, among other things, facilitates connections between homeowners and independent service professionals and provides AI-assisted tools. DispatchIQ does not itself provide, perform, supervise, or guarantee any repair, installation, inspection, or trade service. THE PLATFORM AND ALL CONTENT, AI OUTPUTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. We do not warrant that the Platform will be uninterrupted, secure, error-free, or that outputs will be accurate or reliable. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPATCHIQ LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, PROPERTY DAMAGE, OR PERSONAL INJURY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE PLATFORM, ANY AI OUTPUT OR GUIDANCE, OR ANY INTERACTION WITH A SERVICE PROVIDER OR OTHER USER, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. DISPATCHIQ'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO DISPATCHIQ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
17. Indemnification
You agree to defend, indemnify, and hold harmless DispatchIQ LLC and its officers, directors, employees, agents, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Platform; (b) your violation of these Terms or any law or third-party right; (c) any repair, diagnosis, installation, inspection, or work you perform or attempt (including DIY or guided work) and any property damage or personal injury resulting from it; (d) content you submit; or (e) your interactions or transactions with any Service Provider or other user. We may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate.
18. Dispute Resolution; Binding Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. Most concerns can be resolved informally; contact us first at legal@dispatchiq.ai, and the parties agree to attempt good-faith resolution for 30 days. If unresolved, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by FINAL AND BINDING ARBITRATION administered by the American Arbitration Association (AAA) under its applicable rules, before a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this section. YOU AND DISPATCHIQ AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL AND TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION. All proceedings will be conducted only on an individual basis. Either party may bring an individual claim in small-claims court. You may opt out of arbitration by emailing legal@dispatchiq.ai within 30 days of first accepting these Terms; opting out does not affect any other provision. If the class-action waiver is found unenforceable as to a claim, that claim shall proceed in court, but the rest of this section remains in effect.
19. Governing Law and Venue
These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law rules, except that the Federal Arbitration Act governs Section 17. Subject to the arbitration provisions, any action not subject to arbitration shall be brought exclusively in the state or federal courts located in Oakland County, Michigan, and you consent to personal jurisdiction and venue there.
20. Termination
You may terminate your account at any time using the in-app account-deletion feature or by contacting support@dispatchiq.ai. We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms, suspected fraud or unsafe activity, or prolonged inactivity. Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive (including Sections 6–9 and 14–18, and 20–24) survive termination. Outstanding payment obligations survive termination.
21. Electronic Communications & Electronic Signature Consent
You consent to receive communications from us electronically — including notices, agreements, disclosures, and records — by email, through the Platform, or by other electronic means, and you agree that all such electronic communications satisfy any legal requirement that a communication be in writing. You further consent, under the federal E-SIGN Act and applicable state law, that your electronic acceptance (including clicking an acceptance control, electronically signing, or acknowledging a notice such as the in-app Safety & Liability Notice) constitutes your legally binding electronic signature and agreement. We may retain records of your acceptance, including the exact text and version accepted, the date and time, and applicable account or device information, for evidentiary purposes. You may withdraw consent to electronic communications by contacting us, but doing so may prevent you from using the Platform.
22. Privacy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, share, and protect personal information and is incorporated into these Terms by reference. By using the Platform, you acknowledge the Privacy Policy. Where required, additional privacy disclosures or consents (for example, for camera, microphone, or location use) are presented in-app.
23. Modifications to the Terms and Platform
We may modify these Terms from time to time. If we make material changes, we will provide notice through the Platform or by other reasonable means and update the “Last updated” date. Changes are effective when posted (or on a later stated effective date). Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms; if you do not agree, stop using the Platform. We may also add, change, suspend, or discontinue any part of the Platform at any time.
24. Force Majeure
DispatchIQ is not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, fire, flood, severe weather, labor disputes, utility or internet failures, third-party service outages, governmental actions, war, terrorism, or public-health emergencies.
25. General
These Terms (together with the Privacy Policy and any product-specific or in-app terms you accept) are the entire agreement between you and DispatchIQ regarding the Platform and supersede prior agreements on that subject. If any provision is found unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Headings are for convenience only. To the extent any product-specific or in-app term conflicts with these Terms, these Terms control unless the specific term expressly states otherwise.
